License Agreement
IMPORTANT - READ CAREFULLY. BY CLICKING "I Agree," YOU ARE
AGREEING TO ALL OF THE TERMS OF THIS LICENSE. IF YOU DO NOT AGREE TO
ALL OF THE TERMS, CLICK "I Do Not Agree." IF YOU CLICK "I Do Not
Agree," YOU WILL BE UNABLE TO PROCEED WITH THIS PROGRAM.
This License Agreement ("Agreement") is a legal agreement between
you ("End User") and International Automotive Remarketers Alliance
("IARA") for the right to access the Certified Automotive Remarketer
program ("Program") which includes any and all associated media and
"online" or electronic documentation delivered to you via a Web site
on the World Wide Web, the homepage of which is currently located at
http://www.iaraonline.org/
("IARA Site").
Grant of License
License. Subject to the terms and conditions of this Agreement
and End User’s payment of the applicable license fee, IARA hereby
grants to End User, and End User hereby accepts from IARA, a
nonexclusive, nontransferable and non-assignable license to use only
the Program associated with the log on identification ("User ID")
and password provided by IARA, solely for End User's use and not for
the benefit of any other person or entity.
End User’s Obligations
Minimum Work Experience. End User acknowledges that he or she
has a minimum work experience of three (3) consecutive years in the
vehicle remarketing segment or support of that segment prior to
taking a CAR test.
Proper Use. End User shall insure that the "User ID" and/or
password are not utilized by multiple individuals. Your User ID,
password and company identifier are required for accessing and
utilizing the Program on the IARA Site. To ensure your security,
never reveal your User ID, password or company identifier to any
third party.
INTELLECTUAL PROPERTY RIGHTS AND RESTRICTED USE
End User Acknowledgement. End User acknowledges that the
Program, as well as all proprietary rights in and to the Program,
including, but not limited to, all copyright, patent and trade
secret rights, are and shall remain the sole property of IARA and/or
its licensors. End User shall have only the limited use rights
specifically granted by this Agreement. End User shall not transfer
or sublicense any part of the Program. End User further acknowledges
that IARA has no obligation to modify the Program in any manner for
use by End User.
No Decompilation or Modification. End User shall not modify,
disassemble, decompile, reverse engineer, recreate, generate, or
create derivative works from the Program or any portion thereof, or
otherwise attempt to obtain the corresponding code.
Confidentiality. End User shall not disclose or make
available, directly or indirectly, all or any portion of the Program
to any person. End User shall take reasonable measures to ensure
that the Program is maintained confidential.
Term and
Termination
Term. This Agreement shall become effective upon
acceptance of these terms and conditions by End User. Access to the
Program at the IARA Site by the End User and the IARA acceptance of
End User’s application for the Program shall be allowed for a period
of three (3) years from acceptance of End User’s eligibility by
IARA, or until earlier terminated as provided herein.
Termination. IARA, in its sole discretion, may terminate this
Agreement and the license granted hereunder if the End User should
fail to comply with any obligation set forth in this Agreement, the
IARA Site Terms and Conditions, or the IARA Privacy Statement.
Warranties
Limited Warranty. IARA warrants that the IARA Site
will offer access to the Program on a substantially full-time basis.
Notwithstanding the foregoing, the parties expressly recognize that
network servers and links, such as those associated with the
Internet, are susceptible to downtime. IARA shall use commercially
reasonable efforts to maintain a consistent link with the network
upon which the IARA Site is available. Errors caused by hardware
malfunctions or failures are excluded. This limited warranty
excludes End User’s computer, software and connectivity.
Warranty Exclusions. Notwithstanding the limited warranty,
IARA shall have no warranty obligations if (i) End User has used or
is using the eLearning System in a manner not contemplated by this
Agreement or (ii) End User or any third party has modified, or
attempted to modify, the Program.
NO OTHER WARRANTIES. EXCEPT AS EXPRESSLY PROVIDED BY THIS
LIMITED WARRANTY, THE PROGRAM IS LICENSED "AS IS" AND IARA MAKES NO
WARRANTY THAT THE PROGRAM SHALL OPERATE WITH ANY HARDWARE OR
SOFTWARE, OR THAT THE PROGRAM SHALL SATISFY END USER'S OWN SPECIFIC
REQUIREMENTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW,
IARA DISCLAIMS ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS
OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR INTENDED USE,
WITH REGARD TO THE LICENSED PROGRAM.
LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY
APPLICABLE LAW, IN NO EVENT SHALL IARA BE LIABLE FOR ANY SPECIAL,
INCIDENTAL, INDIRECT OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING,
WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS OR REVENUES,
BUSINESS INTERRUPTION, LOSS OF DATA, LOSS OF USE, OR ANY OTHER
PECUNIARY LOSS) ARISING OUT OF OR RESULTING FROM THE USE OR
INABILITY TO USE THE PROGRAM EVEN IF IARA HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, THE ENTIRE LIABILITY OF
IARA UNDER ANY PROVISION OF THIS AGREEMENT SHALL BE LIMITED TO THE
LICENSE FEE ACTUALLY PAID.
Controlling Law and Severability
This license shall be governed by and construed in accordance
with the laws of the State of California, United States of America,
excluding its choice of law provisions. If any provision of this
license is unenforceable, the remainder shall remain in effect.
Complete Agreement
This license constitutes the entire agreement between the
parties with respect to the use of the Program and the related
documentation, and supersedes all prior or contemporaneous oral or
written communications, proposals, and representations with respect
